A meeting of the Board at which a quorum is present shall be competent to exercise all such powers and do all such acts and things as may be exercised or done by the Board and are not hereby or by the Act expressly directed or required to be exercised or done by the Bank in general meeting, but, subject nevertheless to the exercise of such powers not being inconsistent with these regulations or the Act or with any resolution passed at any meeting of the members in accordance therewith. No resolution passed by the Bank in general meeting shall invalidate any prior act of the directors which would have been valid if such resolution had not been passed. The general powers given by this regulation shall not be limited or restricted by any special authority or power given to the directors by any other regulation.
